These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and Orbinux LLC, a limited liability company organized under the laws of the State of Wyoming, USA, with a place of business at 7345 W Sand Lake Rd, Suite 210, Office 6764, Orlando, FL 32819, USA ("Orbinux," "we," "us," or "our").

These Terms govern your access to and use of the Ideario mobile application (iOS and Android), the website at orbinux.com, and all related content, features, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

  • "Content" means all summaries, text, audio, video, graphics, and other materials made available through the Service.
  • "Summary" or "Summaries" means the original, transformative works produced by Orbinux that express the general ideas and concepts of non-fiction books in our own words, organized into eight (8) key ideas.
  • "Source Work" means any third-party book or work whose ideas are referenced in a Summary.
  • "AI Tools" means the artificial-intelligence systems, including large language models, used to assist in producing the Content.

You must be at least 13 years old to use the Service, or older where your country sets a higher minimum age for consent to the processing of personal data. By using the Service, you represent that you meet the applicable minimum age and that you have the legal capacity to enter into these Terms.

The Service is not directed to children under 13, and we do not knowingly collect personal information from them. If you are below the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian.

This requirement applies with particular force where local law sets a higher age or special protections for minors, including: the European Union and Spain, where the minimum age to consent to data processing is 14 in Spain (and between 13 and 16 in other EU member states); Brazil, where the age of civil majority is 18 and minors' data is subject to specific safeguards under the LGPD and the Estatuto da Criança e do Adolescente; and Venezuela, where minors are protected under the LOPNNA. In these jurisdictions, minors may use the Service only with verifiable consent and supervision of a parent or legal guardian.

Ideario provides original, transformative summaries of non-fiction books, presented in text, audio, and video formats and accompanied by graphics. Each Summary distills what we consider to be the eight (8) key ideas of a Source Work, expressed entirely in our own words.

The Summaries are educational and informational works. They are not, and are not intended to be, substitutes for the Source Works. We encourage Users to purchase and read the original books. The Service does not reproduce the text, structure, chapters, cover art, or any substantial portion of any Source Work.

The Service is currently provided free of charge. We may introduce paid subscriptions in a future version, as described in Section 9.

5.1 Our works are original. All Summaries and other Content are original works of authorship created by Orbinux and its human editors. Each Summary expresses, in our own words, the general ideas, facts, and concepts of a Source Work. Copyright protects the particular expression of ideas, not the ideas, facts, or concepts themselves (see 17 U.S.C. § 102(b)). We do not copy verbatim text, do not reproduce substantial portions of any Source Work, and do not use the cover art, trade dress, or logos of any Source Work or publisher.

5.2 No affiliation or endorsement. The Summaries are not affiliated with, sponsored by, authorized by, or endorsed by the authors, publishers, or rights holders of the Source Works. References to a book title and its author are made solely to identify the Source Work whose ideas are discussed and do not imply any relationship, approval, or participation.

5.3 Ownership of the Service and Content. As between you and Orbinux, Orbinux owns or licenses all right, title, and interest in and to the Service and the Content, including all software, design, text, audio, video, graphics, trademarks (including "Ideario" and "Orbinux"), and the selection, coordination, and arrangement of the Content. No rights are granted to you except as expressly set out in these Terms.

5.4 Feedback. If you provide suggestions or feedback, you grant Orbinux a perpetual, irrevocable, royalty-free license to use it without restriction or compensation.

The Summaries are produced with the assistance of AI Tools and are reviewed, edited, selected, arranged, and approved by human editors employed by Orbinux, who exercise editorial responsibility over the published Content. The creative selection, arrangement, and modification applied by our human editors constitute the original authorship of the Summaries.

We disclose that the Content is AI-assisted in the interest of transparency. In accordance with Article 50 of the European Union Artificial Intelligence Act, content that is generated or materially assisted by AI is identified as such. We make reasonable efforts to ensure the accuracy of AI-assisted Content, but AI Tools may produce errors or omissions; see the disclaimers in Section 10.

7.1 License. Subject to these Terms, Orbinux grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service and the Content for your own personal, non-commercial use only.

7.2 Prohibited uses. You agree not to, and not to permit any third party to: (a) reproduce, distribute, publicly display or perform, resell, sublicense, rent, or lend the Content; (b) create derivative works from, or commercially exploit, the Content; (c) scrape, crawl, harvest, or use automated means or AI systems to extract or copy the Content; (d) use the Content to train any machine-learning or AI model; (e) circumvent, disable, or interfere with security or access controls; (f) remove or alter any copyright, trademark, or proprietary notice; (g) use the Service in violation of any applicable law or these Terms.

Your use of the Ideario application is also subject to the rules of the platform from which you download it (the Apple App Store or Google Play). To the extent the application is licensed to you, it is licensed under the Apple Licensed Application End User License Agreement (Standard EULA) for iOS devices and the applicable Google Play terms for Android devices, except where Orbinux provides a custom EULA. You acknowledge that: (a) these Terms are between you and Orbinux only, and not with Apple or Google; (b) Orbinux, not Apple or Google, is solely responsible for the application and its Content; and (c) Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the iOS application and may enforce them against you.

The Service is currently free. The following terms govern paid subscriptions if and when introduced.

9.1 Subscriptions. We may offer auto-renewing paid subscriptions ("Subscriptions"). The price, billing frequency, and features will be disclosed at the point of purchase.

9.2 Billing through the App Stores. Purchases made through the Apple App Store or Google Play are processed by Apple or Google and are subject to their terms and refund policies, which prevail in case of conflict with this Section. Payment will be charged to your Apple ID or Google account at confirmation of purchase.

9.3 Auto-renewal. Subscriptions renew automatically for the same period unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within the 24 hours prior to the end of the current period. You can manage and cancel Subscriptions in your App Store or Google Play account settings.

9.4 Price changes. We may change Subscription prices. Where required, we will give advance notice; if you do not accept a price increase, your Subscription will not auto-renew at the new price.

9.5 Refunds. Except where required by applicable law, fees are non-refundable. Refunds for App Store or Google Play purchases are handled by the respective platform under its policies.

9.6 Right of withdrawal (EU / Spain). If you are a consumer in the European Union or Spain, you have a statutory right to withdraw from a purchase of digital content within fourteen (14) days. However, where you expressly request that access to digital content begin immediately and acknowledge that you thereby lose your right of withdrawal once supply has begun, the right of withdrawal does not apply to content already supplied, in accordance with EU consumer law and the Spanish General Law for the Defence of Consumers and Users (TRLGDCU).

9.7 Right of withdrawal (Brazil). If you are a consumer in Brazil, you may exercise the right of regret under Article 49 of the Consumer Defense Code (Código de Defesa do Consumidor) within seven (7) days of a purchase made through the Service, subject to the rules of the platform through which the purchase was made.

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBINUX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Orbinux does not warrant that the Content is accurate, complete, current, or error-free. The Summaries reflect our interpretation of the ideas in the Source Works and are not a substitute for the original works or for professional advice. You rely on the Content at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

No professional advice. Many Source Works concern topics such as health, nutrition, psychology, finance, investing, business, and law. The Summaries are provided for general educational and informational purposes only and do not constitute medical, psychological, financial, investment, legal, or other professional advice. They are not tailored to your individual circumstances. You should not act or refrain from acting on the basis of the Content without seeking advice from a qualified professional, and you should never disregard professional advice or delay seeking it because of something you read, heard, or saw in the Service. Orbinux is not liable for any decision you make in reliance on the Content.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBINUX AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

ORBINUX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ORBINUX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50.

Nothing in these Terms limits liability that cannot be limited under applicable law, including mandatory consumer protections in Brazil (Código de Defesa do Consumidor), Venezuela, and other jurisdictions, and liability for gross negligence, willful misconduct, or harm to life or health.

You agree to indemnify and hold harmless Orbinux from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service, to the extent permitted by applicable law.

Orbinux respects intellectual-property rights and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that Content infringes your copyright, send a written notice to our Designated Agent containing: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement of good-faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act.

We will respond to valid notices and may remove allegedly infringing Content. We maintain a policy of terminating the accounts of repeat infringers in appropriate circumstances.

You may stop using the Service at any time and may delete your account using the in-app "delete account" function. We may suspend or terminate your access, with or without notice, if you breach these Terms, misuse the Service, or where required by law. Upon termination, the licenses granted to you cease; Sections 5, 10, 11, 12, 16, and 17 survive termination.

We may modify these Terms or the Service at any time. If we make material changes, we will provide reasonable notice (for example, by in-app notice or email). Your continued use after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.

16.1 Governing law. These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. This choice does not deprive consumers in Brazil, Venezuela, or other countries of the protection of mandatory provisions of the law of their country of residence.

16.2 Binding arbitration. Except for the matters in Section 16.4, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this Section.

16.3 Class-action waiver. You and Orbinux agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding, to the maximum extent permitted by law.

16.4 Exceptions and opt-out. Either party may bring a claim in small-claims court or seek injunctive relief for intellectual-property infringement. You may opt out of arbitration by sending written notice to contact@orbinux.com within 30 days of first accepting these Terms.

16.5 Consumers. If you are a consumer, mandatory arbitration and the class-action waiver apply only to the extent permitted by the law of your jurisdiction. In particular, the laws of the European Union and Spain, of Brazil (Article 51 of the Código de Defesa do Consumidor), and of Venezuela may render mandatory pre-dispute arbitration and class-action waivers unenforceable against consumers, and may guarantee you the protection of the mandatory law and the competent courts of your country of residence. Where that is the case, those provisions do not apply to you. Consumers in the European Union may also access the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. Nothing in these Terms waives any right that cannot be waived under the mandatory consumer-protection law applicable to you.

17.1 Entire agreement. These Terms, together with the Privacy Policy and the Cookie Policy, are the entire agreement between you and Orbinux regarding the Service and supersede any prior agreements.

17.2 Notices. We may give you notice by in-app message, by email to the address associated with your account, or by posting on orbinux.com; such notice is deemed given when sent or posted. Legal notices to Orbinux, including service of process, must be sent in writing to Orbinux LLC, 7345 W Sand Lake Rd, Suite 210, Office 6764, Orlando, FL 32819, USA, with a copy to contact@orbinux.com.

17.3 Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

17.4 No waiver. Our failure to enforce any right is not a waiver.

17.5 Assignment. You may not assign these Terms; we may assign them to an affiliate or successor.

17.6 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
